WASHINGTON—Covington represented leading defense contractor Amentum on government contracts and other regulatory matters in its just-announced deal to acquire DynCorp International, a worldwide leader in aviation and logistics support service. Together, the two companies will create one of the largest providers of mission critical support services.

The combination with DynCorp will accelerate Amentum’s growth, enhance market access, and transform the company into one of the largest in the industry with more than $6 billion in annual revenue and over 34,000 employees. The transaction, expected to close in the fourth quarter of 2020, is subject to customary closing conditions and regulatory approvals.

The Covington team representing Amentum was led by Scott Freling and Nooree Lee and included Peter Hutt II, Andrew Guy, and Darby Rourick (government contracts); Heather Finstuen (national security); Trisha Anderson and Alexandra Scott (cybersecurity); Kim Strosnider, Steve Bartenstein, and Jackie Fitch (trade controls); Mona Patel and Brian Fitzpatrick (anticorruption); and Lindsay Burke and Brady McDaniel (wage and hour compliance).
