Covington Represents UCB in its Acquisition of Neurona Therapeutics for up to $1.15 Billion

NEW YORK—Covington advised UCB, a global biopharmaceutical company, in its entry into a definitive agreement under which UCB would acquire Neurona Therapeutics, including lead asset NRTX-1001, adding to UCB’s epilepsy portfolio. Neurona Therapeutics is a clinical-stage biotherapeutics company focused on advancing regenerative cell therapies for epilepsies and other disorders of the nervous system.

Under the terms of the agreement, UCB will pay $650m upfront and up to $500m in potential future milestone payments.

The Covington team was led by J. D. Weinberg, Kyle Rabe, David Jean Baptiste, and Libby Brown (M&A), Winsome Cheung (licensing/collaboration), Denise Esposito and Elizabeth Guo (regulatory), and Megan Woodford (benefits).
