バイデン政権が通商法301条に基づく対中国関税の規制を強化

Biden Administration to Raise Section 301 Tariffs on Chinese Imports in Strategic Sectors

米国通商代表部（U.S. Trade Representative）は、2024年5月14日、通商法301条に基づく対中国関税に関する規制を強化する方針を示す報告書（以下「本報告書」といいます。）を公表しました。米国は、これまで、中国において強制的な技術移転や知的財産の侵害といった不正な慣行があるとして、中国からの輸入品に関税を課していましたが、本報告書における方針はその関税の額を増加させるものとして位置づけられます。関税の増加は、グリーン経済、半導体、医療用品、港湾インフラ、鉄鋼・アルミニウムなどの特定のセクターにおいて、2024年から2026年にかけて段階的に行われる予定です。本報告書においては、通商法301条の執行のため、米国税関・国境警備局（U.S. Customs and Border Protection。以下「CBP」といいます。）に追加で資金を投じることが推奨されており、今後、取締りが厳格化することが想定されます。CBPは、同条に基づく関税の不払いに対して多額の民事上の制裁金を課したり、刑事上の調査を行ったりする広範な権限を有していることから、適用の恐れのある企業においては、税関規制を確実に遵守しているか、改めて検討を行うことが望まれます。

プーチン大統領がロシア国内の米国企業等の資産の差押さえを認める法令に署名

President Putin Signs Decree Further Threatening Foreign-Owned Property in Russia: Investment Treaties May Provide a Remedy for Foreign Investors

ロシアのプーチン大統領は、2024年5月23日、米国の制裁により没収されたロシアの資産を補償するため、ロシアが米国の企業や国民の資産を差し押さえることを認める法令に署名しました。これは米国やEUによる対露政策への対抗手段として行われたもの見られ、外国企業がロシアで資産を保有し続けることに大きなリスクがあることを示唆するものです。外国企業が取りうる対策としては、二国間投資協定（Bilateral Investment Treaty、以下「BIT」といいます。）に基づく投資仲裁が考えられます。ロシアは、日本を含む六十か国以上との間でBITを締結しており、そこで外国によるロシアに対する投資を適切に保護することを約しています（なお、米露間ではBITは存在しないものの、米国の投資家も、BITを締結している国を通じて資産を保有しているといえる場合には、BITに基づく保護を受けられる可能性があります）。そこで、外国企業においては、ロシアにより資産が差し押さえられた場合には、それが不当でBIT違反に当たるとして、ロシアに対して投資仲裁を提起することが選択肢となり得ます。ロシアによる資産差押えの脅威が現実的となりつつあることから、ロシアに資産を有する外国企業においては、上記の保護について積極的に検討することが望まれます。

［サイバーセキュリティ／米国／CISA］

CISAがサイバーセキュリティ事案等の報告義務に関連する規則案を公表

CISA Proposes Rules for Critical Infrastructure Cyber Incident Reporting

米国サイバーセキュリティ・社会基盤安全保障庁（Cybersecurity and Infrastructure Security Agency、以下「CISA」といいます。）は、2024年4月4日、2022年重要インフラストラクチャー向けサイバーインシデント報告法（Cyber Incident Reporting for Critical Infrastructure Act of 2022、以下「CIRCIA」といいます。）に関連する規則案（以下「本規則案」といいます。）を公表しました。CIRCIAは、大要、適用対象企業に対して、ランサムウェアに基づく身代金支払いについては24時間以内に、一定のサイバーセキュリティ事案については72時間以内に、それぞれCISAに報告することを義務付けるものです。本規則案は、CIRCIAの施行に向けて、その内容を具体化するものとして位置づけられます。現在、パブリック・コメントを受け付け中であり、2025年秋頃には最終化される予定です。本規則案は、米国におけるサイバーセキュリティに関連する報告規制の中で最も広範なもので、CISAの推定では30万以上の企業が適用対象となります。適用を受ける企業は、報告事案が発生した場合には、たとえその実態を把握する途上の段階にあったとしても、短時間で詳細な報告書を準備して提出することが求められます。したがって、各企業においては、CIRCIAの適用があるか確認し、迅速な対応が行えるように、平時のうちから、内部体制を整備したうえで、報告書作成の実施訓練を行っておくことが望まれます。

[米国／メキシコ／労働］

米国・メキシコ・カナダ協定における「労働即応メカニズム」の現状

Four Years of the USMCA Rapid-Response Labor Mechanism

米国・メキシコ・カナダ協定（U.S.-Mexico-Canada Agreement、以下「USMCA」といいます。）が発効してから四年が経過しました。USMCAには、個別の施設を対象とする「労働即応メカニズム」（Rapid Response Labor Mechanism、以下「RRM」といいます。）という、労働者保護に関する特殊な仕組みが盛り込まれています。RRMとは、大要、労働者の結社の自由及び団体交渉権の保護を目的とするものであり、締結国内の個別の施設において上記の権利が侵害されていると考えられる場合、他の締結国が、権利侵害の疑いがあるとされた施設のある締結国に対して、その調査を行うよう申し立てることができる仕組みです。この四年間で合計23件の申立てがあり、そのうち22件が米国からメキシコに対するものでした。それらは、米国企業のメキシコ子会社の施設を対象とする事例にとどまらず、欧州、日本、韓国、中国等の企業の子会社の施設を対象とするものも含まれます。RRMの申立ての対象となった場合には、たとえ権利侵害がなかったと結論付けられたとしても、企業のレピュテーションに悪影響を及ぼすおそれがあります。したがって、メキシコに子会社を有する企業においては、平時より、労働環境に関する強固な情報共有体制を現地責任者との間で構築する、メキシコの労働法に知見のある現地担当者を確保する、労働者の権利に関する研修を従業員に対して行うといった対応をとっておくことが望まれます。
