    Tom Repke has advised numerous companies on their important strategic transactions for over 30 years. He focuses his practice on mergers and acquisitions, including public and private, and other corporate transactions.

    Tom structures and negotiates both domestic and cross-border transactions, and regularly:

    • represents clients in numerous industries, including: manufacturing and industrial, defense, government contracting, technology and life sciences; and
    • assists clients with general corporate matters, including restructurings, governance and compliance.

    Prior to joining the firm, Tom was Chief M&A Counsel at Tyco International where he led M&A, joint venture, and investment transactions across all of the Company’s business units, successfully completing over 100 transactions in countries throughout the world.

    Tom’s pro bono work includes representing nonprofits in their corporate and transactional needs.

    • Assisting Renesas Electronics Corporation in its $5.87 billion offer for Dialog Semiconductor.
    • Represented a multinational consulting firm in its acquisition of a consultancy firm focused on accelerating employee engagement and change management effectiveness for Global 2000 companies.
    • Assisted Merck with a variety of agreements in connection with its the global separation of its Organon business in preparation for the $6.5bn spin off of its women's health business.
    • Represented TE Connectivity in its $325 million sale of its subsea communications business (SubCom) to Cerberus Capital Management, L.P.
    • Represented TE Connectivity in a cross border, carve-out acquisition from ABB.
    • Counsel to TE Connectivity on various Corporate and Regulatory matters.
    • Represented Johnson Controls in connection with the global reorganization and separation of its Power Solutions business and assistance with the closing of the $13.2 billion sale of the business to Brookfield.
    • Represented Johnson Controls in connection with a series of investments in, and ultimate 100% acquisition of, Qolsys, Inc., an innovative life safety, security and home control device company.
    • Represented Orbia (f/k/a Mexichem) in its $1.8 billion acquisition of Netafim Ltd., a global technology and industrial company based in Israel.
