    Priscilla Combari represents clients on a wide variety of complex commercial transactions, specializing in technology-driven matters that enable clients to innovate and become industry leaders. She has significant experience negotiating outsourcing and other technology-driven agreements, including agreements for software development and implementation, data and software licenses (including for cloud or SaaS deliveries), professional services for both service providers and customers, commercial partnerships and collaborations, reseller and white-label arrangements, and distribution deals. She represents clients in a wide array of industries, including technology, life sciences, public utility, consumer goods, airline, hospitality, automobile and banking.

    Priscilla also spent time working in-house at a technology company, where she sharpened her business acumen and deepened her understanding of strategic decision-making. Understanding the concerns and motivations of service providers enables Priscilla to approach negotiations with a balanced mindset, prioritizing achieving solutions that are not only legally robust, but also aligned with operational realities and commercially advantageous for all parties involved.

    • Represented McKesson in negotiations with a technology provider in connection with the establishment of a national Controlled Substance Data Clearinghouse to facilitate the collection, sharing and analysis of sales of Controlled Substances and non-Controlled Substances data across the pharmaceutical supply chain and to bolster the monitoring and prevention of opioid diversion.
    • Advised a multinational pharmaceutical company in the simultaneous negotiation of agreements with 3 contract development and manufacturing organizations (CDMOs) for the manufacture of a CAR-T cell therapy for the treatment of multiple myeloma.
    • Represented Reliance Jio Infocomm Limited (Jio) in the negotiation of a 10-year strategic relationship with Microsoft that included agreements for building and operating datacenters across India, volume-based software licensing for Microsoft Azure, and the development of integrated speech and computer vision solutions to support all major Indian languages and dialects.
    • Advised WeWork on the negotiation of a comprehensive global third-party logistics outsourcing agreement with a global leader in logistics. The $315 million agreement will provide WeWork with freight management, warehousing, customs brokerage, and software services.
    • Represented National Grid in an innovative outsourcing transaction valued at approximately $250 million, which requires multiple vendors to work together and utilize agile software development in order to integrate and upgrade National Grid’s various systems, across regions over a five-year period.
    • Represented American Airlines in connection with its sponsorship of the Jonas Brothers' 2019 "Happiness Begins" tour.
    • Advised the Alliance for Lifetime Income in its agreements to become the sole sponsor of the Rolling Stones' No Filter US Tour 2019 and No Filter US and Canada Tour 2020.
    • Represent numerous clients in stand-alone intellectual property and technology agreements, including license agreements, collaboration and development agreements, services agreements, and agreements for marketing and exploiting technology-based products and services.

    • Advised A Culture of Safety (ACOS) on the negotiation of a development agreement for the creation of a generative AI tool that will provide instant, editorial safety advice on a wide range of scenarios in any language to aid editors and reporters reporting in dangerous environments. This work was recognized by the Cyrus R. Vance Center for International Justice during its 2025 Michael Cooper Celebration of International Pro Bono Excellence awards.
    • Representing Mama Glow—the nation’s leading maternal health and education platform—on various commercial and IP transactions.
    • Advised Hello Tractor on a collaboration agreement with John Deere for a public-private partnership with the Nigerian Federal Ministry of Agriculture and Rural Development. Through the collaboration, John Deere will deploy 10,000 tractors in Nigeria over five years and the tractors will be leased out to small farmers using Hello Tractor's platform, thereby increasing mechanization access in small farming communities.
    • Represented Hello Tractor in the negotiation of an evaluation agreement with IBM for the creation of an agriculture digital wallet consisting of a blockchain-enabled and AI-based decision support platform that enables capturing, tracking, and instant sharing of data, while creating end-to-end trust and transparency for all the parties involved across the agribusiness value chain.
