米国司法省が内部通報者への報奨金プログラムを試験的に導入

DOJ’s New Whistleblower Pilot Program Aims to Generate Information About Corporate Wrongdoing, But Numerous Questions Remain

米国のリサ・モナコ司法副長官は、2024年3月7日、「企業又は財務上の重大な不正行為 」に関する新情報を司法省に提供した内部通報者に報奨金を支払うプログラム（以下、「本プログラム」といいます。）を、試験的に導入する予定であると公表しました。本プログラムの詳細は未だ不明ですが、司法省によれば、米国内外の腐敗事案や、同国の金融システムを犯罪的に悪用した事案における適用を主に想定しているとのことです。もっとも、本プログラムが適用されるためには、通報者が既存の開示義務等を負っておらず、かつ、他の機関や法制度に基づく金銭的な開示のイセンティブがないことが要件に含まれるほか、通報者自身が当該犯罪行為に関与している場合には適用が除外されるとされています。したがって、実務上の適用範囲は限定的とも考えられ、司法省がいかなる事案に本プログラムを適用するか、その運用に注目が集まります。また、本プログラムを通じて司法省に対する直接の内部通報が奨励されるようになった場合、企業が不正行為を自発的に開示したとしても（Voluntary Self-Disclosure）、それが内部通報に後れたものとして減刑が得られなくなるリスクが高まります。これにより、企業が不正行為を認識したとしても自発的開示を躊躇するなど、自発的開示をめぐる企業判断が一層複雑化する可能性も指摘されており、この点における実務上の影響にも注目です。

ESG訴訟の最新動向

A Closer Look: Developing Trends in ESG Litigation

近年、消費者、規制当局及び投資家が企業やその役職員等に対してESG関連の訴訟を提起する事例が急増しています。米国では、消費者保護法に基づく訴えを提起しやすいコロンビア特別区における動きが特に活発です。ESG訴訟は大きく四つの類型にわけられるところ、まず、企業の公開するESG関連の宣伝が虚偽・誤導的である（いわゆる「グリーンウォッシュ」に当たる）との主張に基づく類型が第一に挙げられます。これは多業種にわたって広く提起されており、ESG訴訟の半分以上を占めます。また、気候変動関連の訴訟も急増しています。これは、地球温暖化を始めとする気候変動の原因を創出しているとされる企業に対して提起されるもので、著名な例としては、2023年9月にカリフォルニア州司法長官がエクソン・モービル社を訴えた事例が挙げられます。社会的正義及び多様性に関連する訴訟も増えています。これは、人種・性別等に基づく差別的な取扱いを行っているとされる企業に対して提起されるもので、中には、取締役会や経営陣のメンバーが多様性を欠くことが善管注意義務に違反するとして提起された事例もあります。従業員退職所得保障法（Employee Retirement Income Security Act）に基づく訴訟も存在します。この訴訟は、同法が受託者に対して加入者及び受益者の金銭的利益の追求を善管注意義務として課すところ、受託者が金銭的利益よりもESGを優先して投資を行ったとされる場合に、善管注意義務違反を理由として提起されるものです。企業においては、以上のようなESG訴訟のリスクを適切に理解したうえで、今後のESGの取組みを策定することが望まれます。

米国連邦取引委員会が競業避止義務を禁止する規則を可決

FTC Issues Final Rule Purporting to Ban Non-Compete Clauses with U.S. Workers

米国の連邦取引委員会（Federal Trade Commission、以下「FTC」といいます。）は、2024年4月23日、使用者が労働者に対して競業避止義務を課すことを原則として禁止する規則（以下「本規則」といいます。）を可決しました。本規則は、FTCの管轄下にある全ての者及び米国内の全労働者に対して適用があり、労働者が退職後に米国内で雇用を求めることを禁止したり、それに罰則を課したり、あるいはそれを妨げる機能を有したりする条項を禁止するものです。本規則は既存の競業避止義務条項にも適用があり、使用者は、本規則が連邦官報に掲載された後120日以内に、本規則で禁止される競業避止義務条項を取消す必要があります。本規則の適用除外となるのは、本規則の効力発生日より前に合意された「経営幹部」（Senior Executive）に課される競業避止義務や、株式や資産の譲渡等に伴い課される競業避止義務など、一定の場合に限られます。本規則に対しては、3000万件以上の既存契約に影響を与えるなどとして強い反対意見が挙がっており、その法的有効性を巡って訴訟が提起されることも予想されます。本規則の適用を受ける企業においては、その動向を注視する一方で、競業避止義務を含む既存の労働契約書などについて早急に見直しを行うことが望まれます。
