    Brandon Thompson provides strategic advice to global companies based primarily in Europe and the United States on a broad range of complex cross-border corporate matters, including public and private offerings of equity and debt securities, mergers and acquisitions, venture capital and growth financings, corporate governance, and debt financings.

    Brandon represents a wide range of corporate clients with particular experience in the life sciences industry.

    Brandon’s pro bono work includes representing individuals in the United States and England on immigration matters, advising non-profits on collaborations and assisting non-partisan global organisations with public policy efforts.

    Brandon was a legal intern at the Financial Services Authority in London.

    • Advised Elanco Animal Health in:
      • its sale of the rights to Posilac® and manufacturing plant in Augusta, Georgia to Union Agener;
      • its $55 million sale of the rights to Vecoxan® to Merck; and
      • its sale of the rights to Clomicalm® and Itrafungol® to Virbac S.A.
    • Advised Horizon Discovery Group plc in:
      • its $85 million acquisition of GE Healthcare Dharmacon, Inc. from General Electric Company and related £80 million follow-on financing; and
      • sale of its in vivo assay services and animal models business to Envigo RMS, LLC.
    • Advised Oxford BioMedica plc in a $55 million secured debt facility with Oaktree Capital Management - Strategic Credit Strategy and on various follow-on financings.

    • Advised Pharming Group N.V. in:
      • its €104 million complex financing combination of redeemable convertible bonds, amortizable convertible bonds, a rights issue with rump offer add-on and a secured debt facility;
      • its $100 million secured debt facility with OrbiMed Advisors; and
      • its €125 million redeemable convertible bonds offering.
    • Advised LifeArc, a British life science medical research charity, on a Series A Preferred Stock investment in a US pharmaceutical company.
    • Advised a multi-category, multi-website specialist e-commerce retailer and brand owner in:
      • its acquisition of a leading weight management and sports nutrition retailer, and its affiliate;
      • its acquisition of an online retailer of premium brand beauty products; and
      • its acquisition of an online retailer of professional skincare products.
    • Advised a global investor syndicate on a $30 million Series F Preferred Stock investment in a US biotech company.
    • Advised a French-headquartered investor group on US-style venture capital transactions.
