Zak Megeed advises life sciences clients in a variety of complex transactional and patent matters, including strategic collaborations, licensing, acquisitions, divestitures, commercial agreements, and all aspects of patent portfolio development and freedom-to-operate.

Prior to joining Covington, Dr. Megeed was the first head of intellectual property for a leading therapeutic antibody discovery company, where he contributed to the development of an intellectual property strategy and assets that have formed the basis for over 50 collaborations with pharmaceutical and biotechnology partners.

Transactional Matters

  • Represented a global pharmaceutical company in a strategic collaboration and in-license to develop and commercialize an antibody-drug conjugate.
  • Represented a leading companion diagnostics company in a collaboration agreement for the development and commercialization of a companion diagnostic to select patients for treatment with a small molecule oncology drug.
  • Advised a global pharmaceutical company in a multi-party collaboration related to the development and commercialization of a companion diagnostic assay.
  • Advised a specialty pharmaceutical company in a three-way merger to create a fully-integrated pharmaceutical company.
  • Represented a specialty pharmaceutical company in acquiring U.S. rights to a Phase 2 dermatological product from a global pharmaceutical company and the grant of distribution rights under a parallel financing transaction.
  • Advised a platform-based startup with respect to its rights and obligations under existing strategic agreements and improved strategies for future partnering.
  • Represented several startup clients in collaboration and licensing agreements with academic institutions.
  • Represented various clients in a wide spectrum of commercial agreements, including agreements related to confidentiality, material transfer, supply and distribution, manufacturing, services and clinical trials.

Patent Matters

  • Represented a biotechnology company with respect to freedom-to-operate and strategic considerations for an antibody-based checkpoint modulator.
  • Represented several biotechnology companies in drafting key patent applications covering antibody therapeutics and antibody-drug conjugates.
  • Represented a biotechnology company in drafting a patent application covering a proprietary multi-specific antibody construct.
  • Performed a peer review of the patent portfolio of a platform-based biotechnology company, providing advice on pre-litigation strengths and weaknesses, and opportunities for further development of the portfolio.
