Mzwandile Khumalo is a South African qualified lawyer and associate in the Project Development and Finance practice. He advises on a wide range of project finance and development transactions with respect to the development, acquisition, and financing of projects in the areas of energy (including conventional electricity and renewable energy), water, mining, and infrastructure across various jurisdictions.

  • Represented a South African state-owned company in relation to the development and procurement of port infrastructure development projects in the ports of Saldanha, Richards Bay, and East London as part of a Government initiated project, including the structuring and implementation of associated procurement processes, section 56 concession agreements, and related port licenses.
  • Represented a private sector bidder party as local counsel in respect of its participation in the proposed acquisition of the entire issued share capital in the South African subsidiary of a supermajor oil company.
  • Represented a Canadian energy company in respect of its participation in a bid for the potential acquisition of an equity interest in a portfolio of six renewable energy projects developed pursuant to South Africa’s REIPPP Programme. The South African portfolio comprised of a wind project and five solar projects with a combined energy yield of approximately 179 MWs.
  • Represented the project sponsors in relation to the design, development, financing, construction, operation, and maintenance of two 5MW solar PV generation facilities in Namibia under the project names “Ejuva One” and “Ejuva Two.”
  • Represented a private sector party in relation to its participation in a bid for the acquisition and development of certain oil and gas assets located on the west coast, offshore South Africa.
  • Represented a multinational coal mining company with respect to the structuring and disposal of its non-core assets. The transaction included an extensive review of the underling coal supply agreements in terms of which the supply and purchase of coal from its collieries to four major power stations in South Africa was guaranteed.
  • Represented a multinational FMCG company in relation to revisions to and standardization of its road transportation agreements in South Africa, Kenya, Zambia, Mozambique, and Botswana.
  • Represented a tertiary institution in respect of a commercial real estate development project. The transaction included the provision of a high level feasibility study and implementation plan for the development of possible student accommodation, a centralized university administration block and upmarket luxury hotels.
  • Represented a South African steel producer in negotiating a medium-term gas supply agreement with a third-party supplier.
