Lido Fontana has significant experience in international oil and gas, mining, power, and large infrastructure development transactions.

Power - Coal/Gas

  • Advised potential purchasers on the Kelvin power station, the only coal-fired IPP in operation in South Africa.
  • Advised the National Development Corporation of Tanzania on its joint venture with Sichuan Hongda to develop a 300MW coal-fired power station and iron ore mine and smelter project in Mtwara, Tanzania. At the time, the project value of $3 billion represented the single-largest investment venture in East Africa.
  • Advised Eskom on an emergency gas-fired power project in Ressano Garcia, Mozambique and associated wheeling arrangement to South Africa. The deal was awarded Africa’s Best Fast Track Power Project for 2012 at the Africa Energy Awards.
  • Advised Gigawatt Mozambique on the development and financing of its 100 MW gas-fired power station in Ressano Garcia, Mozambique.
  • Advised Rio Tinto PLC on its proposed Benga coal-fired power Project in Mozambique.
  • Advised sponsors on the 300 MW Maamba Collieries coal-fired power station in Zambia.

Power - Renewables

  • Advised European Bank for Reconstruction and Development, Black Sea Trade and Development Bank and UniCredit Bank Austria AG on a 60 MW wind project in Bulgaria.
  • Advised the EPC contractor on a 50 MW hydro project in Nigeria.
  • Advised project sponsors on a 30 MW solar PV project at preferred bidder status in Zambia.
  • Advised the EPC contractor on a 25 MW solar PV project in Rwanda.
  • Advised lenders on a 100 MW onshore wind project under round 1 of the South African IPP Programme. The deal was awarded African Wind Deal of the Year by Euromoney and Project Finance magazine.
  • Advised lenders on an 80 MW onshore wind project under round 1 of the South African IPP Programme.
  • Advised project sponsors on a 75 MW solar PV project under round 1 of the South African IPP Programme.
  • Advised a joint venture between Exxaro Resources and Tata Power Company in respect of a 140 MW onshore wind project under round 2 of the South African IPP Programme.
  • Advised lenders on a 140 MW onshore wind project under round 2 of the South African IPP Programme.
  • Advised lenders on a 60 MW solar PV project under round 2 of the South African IPP Programme.
  • Advised lenders on a 20 MW solar PV project under round 2 of the South African IPP Programme.
  • Advised project sponsors on a 20 MW biomass project under round 3 of the South African IPP Programme.
  • Advised the EPC and O&M contractor on a 75 MW solar PV project under round 3 of the South African IPP Programme.

Infrastructure/PPPs/PFIs 

  • Advised the International Finance Corporation (IFC) on a PPP to provide operational management and control of the principal port operator in Mauritius (Cargo Handling Corporation).
  • Advised the Olympic Delivery Authority on procurement and general commercial contracts relating to asset protection arrangements with network rail and framework agreements relating to the transport arrangements in respect of the Olympic Games 2012 in London.
  • Advised the preferred bidder (comprising John Laing, Hitachi and Barclays Private Equity) on the UK Department for Transport's intercity express programme (IEP). At the time, IEP was valued as the largest PPP in the UK, at around £7,5 billion.
  • Advised the consortium (comprising Lockheed Martin & VT Group) bidding on the £4 billion Joint Search and Rescue Helicopter PPP project for the Ministry of Defence.
  • Advised a bidder (Telereal Trillium) on a £1,5 billion office accommodation PPP project in Belfast, Northern Ireland.
  • Advised Virgin Group on the reorganization of a joint venture with the Carphone Warehouse Group in connection with the launch of a mobile Virtual Network Operator under the Virgin Mobile brand in France.

Oil and Gas

  • Advised an international oil trading company on the proposed sale of its global downstream oil assets, covering jurisdictions in Sub-Saharan Africa, Central, and South America.
  • Advised a leading Nigerian oil company on its proposed acquisition of an African energy company's holding interests in various oil fields in Nigeria.
  • Advised a bidder on the proposed acquisition of a global energy company's assets in Kenya, Uganda, Benin, Cameroun, Congo, Ivory Coast, and Togo.
  • Advised the largest U.S. oil refiner on the acquisition of a UK oil refinery.
