Leading California Technology M&A Lawyer Joins Covington

SAN FRANCISCO—Denny Kwon has joined Covington as a partner in its Corporate Practice in San Francisco.
Mr. Kwon represents numerous public and private companies, private equity firms, and investment banks in a wide range of M&A transactions. His transactional experience includes the acquisition and sale of domestic and foreign public companies, private companies, divisions, and other assets for cash, stock, and other consideration, structured as mergers, stock sales, asset sales, mergers of equals, leveraged buy-outs, going-private transactions, tender offers, unsolicited offers, and proxy contests.
Mr. Kwon has also counseled clients in connection with other strategic transactions, such as spinoffs, joint ventures, and minority investments. In connection with these transactions, he counsels clients on fiduciary duties, M&A terms and conditions, federal securities law compliance, disclosure obligations, and stock exchange requirements.
In addition to his U.S.-based practice, Mr. Kwon has worked on numerous cross-border M&A transactions, including those involving companies in East Asia, India, Southeast Asia, Israel, Europe, and Canada.
