WASHINGTON, DC, May 13, 2010 — Montreal-based CGI Group Inc. has announced an agreement to acquire Stanley Inc., headquartered in Arlington, Virginia, in a transaction valued at $1.07 billion. Covington & Burling LLP is advising Stanley on the national security and export control aspects of the transaction.
Stanley is a provider of information technology services and solutions to U.S. defense, intelligence, and federal civilian government agencies. CGI is one of the largest independent information technology and business process services firms in the world.
Covington is advising Stanley on matters relating to Exon-Florio clearance before the Committee on Foreign Investment in the United States (CFIUS), authorization by the Department of Defense pursuant to the National Industrial Security Program Operating Manual (NISPOM), and export regulation under the International Traffic in Arms Regulation (ITAR) administered by the Department of State.
The Washington-based Covington team is being led by partner Mark Plotkin and associate Damara Chambers, with partner David Fagan, of counsel David Addis, and associates Gabriel Slater*, Greta Milligan, Caroline Murray**, Anna St. John, and Brooke Wright***.
