Covington Advises J&J on Ethicon’s $785M Acquisition of Acclarent

NEW YORK, December 17, 2009 — Ethicon, Inc., a Johnson & Johnson company and a worldwide leader in surgical care, and Acclarent, Inc., a privately held medical technology company dedicated to designing, developing and commercializing devices that address conditions affecting the ear, nose and throat, have announced a definitive merger agreement whereby Ethicon will acquire Acclarent in an all-cash transaction for approximately $785 million. Covington & Burling LLP advised Johnson & Johnson on the transaction.

The Covington corporate team was led by partner J. D. Weinberg in New York, with San Francisco-based associates Donald Saelinger* and Robert Lutzker. Partner Mike Francese in the firm’s Washington office advised on employee benefits and executive compensation.
