NEW YORK, NY, August 17, 2007 — Lamson & Sessions announced that it has entered into a definitive merger agreement to be acquired by Thomas & Betts Corporation for approximately $450 million in cash. Covington & Burling LLP advised Perella Weinberg Partners, financial advisor to Lamson & Sessions, on the transaction. Perella Weinberg Partners is an independent, privately owned financial services firm that provides corporate advisory and asset management services to clients around the world. Lamson & Sessions is a leading producer of thermoplastic enclosures, fittings, conduit and pipe, and wiring devices for the electrical, telecommunications, consumer, power and waste water markets. Thomas & Betts Corporation is a leading manufacturer of electrical components used in construction, industrial and utility markets.
