Covington Advises NBC TV Affiliates Association in Joint Venture with NBC Network

WASHINGTON, D.C., November 16, 2004 -  Covington & Burling advised the NBC Television Affiliates Association on a joint venture agreement with NBC News Bureau, Inc., a subsidiary of NBC Universal, to create a jointly owned and operated all-weather digital broadcast network.  The formed joint venture, announced today, will be called NBC Weather Plus Network LLC and will be carried by participating NBC-owned and NBC-affiliated stations on a portion of their digital spectrum.

Covington also advised the NBC Affiliates on the formation of a new entity, which will be one of the two equity members in the new venture.  This venture is a major initiative by television stations to utilize their digital spectrum.

Eric Dodson Greenberg led the Covington team, which included Christine E. Enemark and Kerry S. Burke, who assisted on the joint venture negotiations.  Jennifer Johnson and Jon Blake, both regular outside counsel to the NBC Affiliates, advised  on FCC regulatory issues.  Robert Shaw and Alison Wang counseled on tax issues.
