August 5, 2002 - WASHINGTON, D.C. - Covington & Burling represented privately-held Aegis Research Corporation, of Falls Church, Virginia, a leading provider of secrecy, security, intelligence, counterintelligence, computer forensics, intrusion analysis and other enterprise protection strategies and technical services to the national security community, in its sale to ManTech International Corporation (Nasdaq: MANT), an information systems and technical services company also serving the federal government market. In the transaction, which closed today, ManTech International paid $69.1 million in cash, subject to certain post-closing adjustments, for Aegis Research. Aegis Research will continue as a subsidiary of ManTech International under the name ManTech Aegis Research Corporation.
Covington’s legal team for the transaction was led by corporate partner Edward C. Britton and included Catherine J. Dargan and Peter A. Zern (corporate), Scott D. Feldstein and Robert E. Shaw (tax), Kathleen Gallagher-Duff (intellectual property), Robert S. Newman (employee benefits), Alan A. Pemberton (government contracts), and George M. Chester, Jr. and Tuan N. Samahon (antitrust).
Covington & Burling has served as general counsel to Aegis Research since the company was founded in 1987. During that time, Aegis Research has grown from a company with a single employee to an enterprise employing in excess of 500 people at locations in 16 states.
