CFIUS年次報告書－積極姿勢が明らかに

CFIUS Annual Report Shows Transactions Facing Longer Road to Approval

対米外国投資委員会（CFIUS）による年次報告書が発表されました。同報告書によると、正式な通知(Notice)を要求された申告(Declaration。通知よりも簡易な形式での届出)、審査(Review)の次の段階である調査(Investigation)に移行したケース、当事者による通知の撤回と再提出、リスク軽減措置に関する合意（Mitigation Agreement）がいずれも増加しており、日本からの投資も含め、CFIUSがより積極的な立場をとっていることを示しています。これらの傾向とCFIUSがコンプライアンスにより重点を置くようになったことを併せ考慮すると、今後は、リスク軽減措置として継続的なコンプライアンス義務が課される可能性も念頭において計画できるようにしておく必要があります。

欧州サステナビリティ報告基準－発効に向け最終案

CSRD Reporting Takes Shape: European Commission Adopts Mandatory European Sustainability Reporting Standards (“ESRS”)

EU企業サステナビリティ報告指令（”CSRD”）の対象となる企業は、欧州サステナビリティ報告基準（”ESRS”）にしたがった報告が求められているところ、2023年7月31日 、欧州委員会はESRSの最終版を定めた委任法を採択し、精査期間中に異議申立てがなければ2024年1月1日に発効することになりました。この最終版ESRSは、昨年公表された草案から大きく変更されており、特に以下の３点が注目されます: １）トピック別開示基準におけるすべての開示が重要性評価（マテリアリティ・アセスメント）の対象となりました、２）段階的導入期間が規定されました、３）任意開示となった事項が増えました。欧州で事業を展開する企業は、CSRDの対象となるかどうか、またいつから適用されるかを検討し、準備をすすめる必要があります。

対中投資に関する米国大統領令－今後の展開に要注視

U.S. Launches Outbound Investment Screening Targeting China with Further Developments Forthcoming

2023年8月9日、バイデン政権は、”米国人（U.S. persons）”による、中国向け投資に関する大統領令を発令しました。詳細は今後財務省により定められますが、これにより、半導体・マイクロエレクトロニクス、量子情報技術、AIの分野における国家安全保障に関わる技術と製品に関する中国向けの特定の投資が禁止され、または特定の取引につき届出義務が課されることになります。ここでいう”米国人”には、米国法によって設立された法人及びその外国支店、並びに米国所在の外国人を含み、さらに、外国人による取引であっても、”米国人”が知りながら指示した取引であれば規制の対象とされることが予想されており、日本企業による取引も規制対象になる可能性が多分にあるため、今後の展開を注視していく必要があります。
