EU外国補助金に関する規則（"FSR"）が2023年7月12日に施行され、同年10月12日から届出義務が発生します。7月10日に発表された施行規則において届出の様式及びその内容が規定されており、本稿においては、補助金の種類によって提出する情報が異なる点や申請主体のみならずそのグループ会社の補助金についても情報提供義務があること等詳細につき解説しています。

企業結合ガイドライン案の公表

U.S. Antitrust Agencies Propose Major Changes to Merger Guidelines

米国連邦取引委員会（Federal Trade Commission）及び米国司法省（Department of Justice）は、2023年7月19日、現在の企業結合ガイドラインを置き換える、新しい企業結合ガイドライン案を公表しました。本ガイドラインにおいては、違法推定の働く水平型企業結合の基準を引き下げるとともに、一定の垂直型企業結合についても違法推定が働く旨が規定されています。違法推定の働く企業結合を実施する場合、取引当事者は、当該企業結合が競争を実質的に制限しない旨を証明する必要があるため、本ガイドラインにより、取引当事者への負担は大きくなるといえます。それ以外にも、本ガイドラインは、潜在的に競合する企業における企業結合の状況、いわゆるマルチサイド・プラットフォーム（multi-sided “platforms”）という概念、労働市場への影響といった新たな考慮要素も示していることから、今後のM&Aの実施に影響を与えるものと考えられます。

ロシアによる報復措置に対抗する手段

Protecting Against Russia’s Asset Seizures: Investment Treaties May Provide a Remedy for Foreign Investors

ロシアは、2023年7月16日、非友好国の投資家が資本を保有するロシア企業のうち、Danone Russia JSCとBaltika Brewing Companyを一時的な管理下におく旨を決定しました。ロシアに資本を有する非友好国の投資家は、このように投資財産の収用等のカントリーリスクを抱えていますが、他方で、ロシアは、一部の各非友好国との間で外国投資家を保護するための二国間投資協定（bilateral investment treaties、以下「BIT」といいます。）を締結しています。そして、ロシアによる報復措置はBITによる外国投資家保護に違反する可能性があり、多くのBITは国際仲裁による救済を認められ、その仲裁決定はロシア国外にあるロシア政府の資産に対して執行可能性があることから、報復措置により生じた損害を回復することができると考えられます。

ロシアによる報復措置は今後も強まることが予想されるため、今後の動向を引き続き注視していく必要があります。

FRBの提供する即時決済システム「FedNow」稼働開始とその影響

2023年7月20日、米連邦準備理事会（FRB）の提供する即時決済システム「FedNow」の稼働が開始されました。参加金融機関は、２４時間、３６５日、即時決済が可能となります。これにより、支払約定の変更や新たな支払方法の提供が予想されます。また、危険負担に関する取り決めを見直す必要がでてくる可能性があります。
