米国・英国・EU 「グリーンウォッシュ」規制の近時の動向

The Green Claims Global Drive: Developments in the UK, US and EU

環境への配慮に関する企業の責任がますます拡大するなか、近年、米国、英国及びEUにおける「グリーンウォッシュ」（製品・サービスが環境に配慮したように見せかける宣伝・表示等）に対する規制が強化されています。

2022年1月以降、英国競争市場庁は、衣料品・食料品・家庭用品等の業界ごとに、誤解を招くような「グリーンクレーム」（環境訴求表示）に関する調査を開始し、調査結果は、本年中にも公表される見通しです。2022年12月、米国連邦取引委員会は、環境訴求表示の使用に関するガイドラインの見直しを開始しました。また、2022年3月及び2023年3月、欧州委員会は、環境訴求表示に関する2つの指令案を公表し、本年及び翌年中に、成案化に向けた大きな進展があることが見込まれます。

このように、製品・サービスの環境訴求に関する規制遵守の重要性は高まっており、各国規制当局の今後の動向に注視する必要があります。

[貿易管理・経済制裁]

米国・英国・EU 対ロシア・ベラルーシ・イラン経済制裁・貿易管理規制を更に強化

New U.S., UK, and EU Sanctions and Export Controls Against Russia and Related Measures Targeting Belarus and Iran

2023年5月19日、米国財務省外国資産管理局は、米国からロシア内に所在する者に向けた建築・エンジニアリングサービスの輸出・再輸出・販売・供給等を規制する新たな措置の追加、包括的財産封鎖制裁の対象者の追加等を含む、対ロシア追加制裁・輸出管理規制を発表しました。また、同日、米国商務省産業安全保障局は、輸出管理規則(EAR)を改訂し、建設、製造、電子機器、高機能繊維及び化学製品等を中心に、ロシア又はベラルーシ向け輸出のライセンス要件の対象となる品目を拡大するとともに、イラン向けの無人航空機のライセンス管理を拡大しました。

英国では、近時、ロシア産ダイヤモンド、銅、アルミニウム、ニッケルの輸入に関する新たな貿易制限を発表しました。加えて、EUでは、貿易規制の対象となる製品の追加、ロシア内で使用することを目的とした知的財産権の譲渡等の制限、第三国を経由したロシアへの特定製品の継続的な輸出を規制するための措置の提案を含む、対ロシア制裁の新たなパッケージが発表されました。

[CFIUS／投資・取引／外国投資家／開示]

CFIUS審査に係る開示対象の拡大とファイリング時期の明確化

CFIUS Issues Guidance On Disclosure of Information About Limited Partner Investors and Application of Mandatory Filing Rules to Multi-stage Transactions

米国財務省（Department of Treasury）は、対米外国投資委員会（Committee on Foreign Investment in the United States、以下「CFIUS」といいます。）の審査対象となる取引に係る手続に関連して、よくある質問（FAQ）への回答を公表しました。本回答においては、これまで広く開示が要求されなかった外国投資家の国についても、対象会社の支配に直接関与しない受動的投資家（passive investor）やファンドの有限責任組合員（limited partner）による株式等保有状況が、CFIUSの要請に基づく開示対象となる旨が示されたため、外国投資家による株式等保有状況に係る開示の対象範囲は拡大されたといえます。CFIUSがこれらの情報を要請した場合、取引の当事者は3日以内に回答しなければいけないため、かかる当事者は、CFIUSへのファイリング前に、開示対象者との間でCFIUSの審査で要求される手続について確認しておくことが必要となります。さらに本回答は、CFIUSの審査手続のファイリングのタイミングに関連して、多段階取引（multi-stage transaction）の際の取引完了日（completion date）の判断に係る解釈も示していますが、CFIUS審査の対象取引（covered transaction）ではないはずの取引をも審査対象としているように読めることから、かかる解釈の更なる明確化が望まれます。

[FDA／医薬品・生物由来製品／AI・ML／技術]

医薬品等の開発に係るAIの使用に関するディスカッションペーパーの公表

FDA Releases Discussion Paper on AI in the Drug and Biological Product Development Process | Covington Digital Health

医薬品と生物由来製品（以下「医薬品等」といいます。）の開発において、AIの重要性は近年ますます高まっており、今後は臨床試験計画の策定、デジタルヘルス、リアルワールドデータ（RWD）の分析等、開発の様々な段階での使用が予想されます。他方で、その使用には未知なる部分もまだ多いことから、米国食品医薬品局（Food and Drug Administration、以下「FDA」といいます。）においては、AIを使用して開発される医薬品等の安全性等を確保するための基準を策定するための協議が続けられており、2023年5月には2度目のディスカッションペーパー（Using Artificial Intelligence & Machine Learning in the Development of Drug & Biological Products）が公表されました。医薬品等開発以外の場面におけるAIの使用については、すでに別途基準が公表されていることから、FDAはそれらを参考にするとともに、1）ヒトによるガバナンス、責任及び透明性、2）データの品質、信頼性及び代表性、並びに3）モデルの開発、性能、モニタリング及びバリデーションといった観点から、引き続き検討を進めています。医薬品等開発においてAIを活発に使用できるようになれば、今後の開発手法にも影響が出るものと思われますので、今後の動向を注視することが必要です。
