Getting Your Life Sciences Transaction Done in the Current Competition Law Environment

Global antitrust enforcement authorities have combined aggressive rhetoric with policy statements and procedural changes to take targeted enforcement action against reportable transactions, with a stated focus and heightened level of scrutiny directed at the life sciences industry. In fact, U.S. antitrust agencies have expressed an intent to "work hand-in-hand with international and domestic enforcement partners to take an aggressive approach to tackling anticompetitive pharmaceutical mergers."
Amidst a growing regime of global filings, the U.S. agencies have finalized significant changes to their merger guidelines and proposed extensive revisions to the filing requirements that parties under the Hart-Scott Rodino Act must satisfy. In Europe, life sciences deals face heavy scrutiny by antitrust regulators, in addition to new or expanded obligations under the E.U. Foreign Subsidies Regulation and Foreign Direct Investment rules. In combination, this heightened global enforcement landscape raises new complexities for a wide range of life sciences transactions.
