Navigating an M&A Transaction: A Roadmap for Government Contractors

On October 15, Covington and PwC will hold a symposium that focuses on the unique legal, accounting, and compliance considerations in mergers and acquisitions involving companies that conduct business with government customers. Covington lawyers, PwC accountants and consultants, and in-house stakeholders will provide a cross-disciplinary perspective on important considerations for transaction parties, including:

  • Inherent complexities of deals involving government contractors, including sell-side and buy-side issues, and carve-out transactions;
  • Navigating government contracts compliance considerations during the transaction and how those considerations may impact deal valuation and risk allocation;
  • Effective intellectual property diligence when examining government patent and data rights; and
  • Cross-border considerations in government contracts M&A, including CFIUS/FOCI, supply chain management, and cybersecurity.
