    Alicia Zhang is a partner in the firm’s corporate practice and advises companies and financial institutions on securities offerings, public company transactions, and strategic mergers and acquisitions.

    Alicia helps issuers and underwriters execute capital raising transactions, including initial public offerings, follow on equity offerings, debt offerings, and private placements. Her capital markets practice also includes counseling domestic and foreign public companies on Securities Act and Exchange Act reporting, corporate governance, disclosure matters, and other securities law issues. In addition, she has advised on derivatives and equity linked product transactions, including hedging arrangements entered into in connection with capital markets offerings.

    In her M&A practice, Alicia advises buyers, sellers, and financial advisors in mergers and acquisitions, with a particular focus on public company mergers and tender offers. She advises on transaction structure, disclosure, regulatory compliance, and execution risk across a range of industries.

    Alicia is recognized for a practical, market informed perspective and for providing actionable guidance to management teams, boards of directors, issuers, underwriters, and other participants in capital markets and M&A transactions.

    Capital Markets

    • Represented issuers and underwriters in initial public offerings, follow on equity offerings, and at the market programs, including:
      • BioNTech in its $511 million advanced follow on offering and related rights offering of American Depositary Shares (ADSs) and $200 million investment in securities of Autolus Therapeutics;
      • the underwriters in the $367 million IPO of Kyverna Therapeutics;
      • the underwriters in follow-on offerings of common stock and preferred stock of Valley National Bancorp; and
      • the underwriters in the IPO of MiNK Therapeutics and the U.S. IPO and global offering of ERYTECH Pharma shares and ADSs.
    • Represented issuers and underwriters in public and private offerings of investment grade debt, convertible and subordinated debt, and equity-linked transactions, including:
      • the initial purchasers in the $594 million offering of convertible notes by Riot Platforms;
      • Trustmark in multiple offerings of subordinated notes;
      • Uber Technologies, SoFi and Global Payments in capped call transactions in connection with convertible note issuances;
      •  Johnson & Johnson and Bristol Myers Squibb Company in investment grade note offerings; and
      • the underwriters in investment grade note offerings by Jefferies Group and The Clorox Company.
    • Advised various public companies and their boards on securities reporting and other governance and compliance matters, including board and committee independence, committee charters, codes of ethics, governance guidelines, insider trading, share repurchase programs, internal and disclosure controls, succession planning and management transitions, fiduciary duties, cybersecurity, related party transactions, shareholder proposals and engagement and similar matters.

    Mergers and Acquisitions

    • Represented Novartis in its pending $12 billion acquisition of Avidity Biosciences.
    • Represented Merck in its acquisitions of Harpoon Therapeutics ($680 million), Acceleron Pharma ($11.5 billion), Pandion Therapeutics ($1.85 billion) and ArQule ($2.7 billion).
    • Represented AstraZeneca in its $1.8 billion acquisition of CinCor Pharma, and the sale of U.S. rights to Synagis and related profit participation rights to Sobi for $1.5 billion plus contingent payments.
    • Represented Astellas in its $3 billion acquisition of Audentes Therapeutics.
    • Represented Oxford Immunotec in its $591 million sale to PerkinElmer.
    • Represented Evercore as financial advisor to United Technologies in its $120 billion merger of equals with Raytheon.
    • Represented the special committee of Santander Consumer USA Holdings in a $2.5 billion going private transaction.
