    Molly Ramsden’s practice focuses on the design, implementation, and ongoing compliance of employee benefits and executive compensation arrangements.

    Molly assists employers of all sizes and industries maneuver the complexities of ERISA, the Internal Revenue Code, and all other federal, state, and local laws that impact employee benefits and executive compensation.

    In particular, Molly frequently advises clients regarding:

    • Health and welfare plans;
    • Tax-qualified retirement plans (defined benefit pension plans, 401(k)s, 403(b)s, etc.)
    • Equity compensation;
    • Nonqualified deferred compensation (top hat plans); and
    • Various other employment and/or benefits related matters.

    • Represented a multinational company in the investigation by the Department of Labor into its defined benefit pension plan, which covered more than 60,000 participants and held over $14 billion in assets.
    • Worked with the in-house counsel at a Fortune 50 company to completely review and revise the structure of its health and welfare benefits provided to employees across the United States.
    • Regularly negotiate with private equity funds regarding the terms and conditions of proposed investments by clients’ tax qualified retirement plans to ensure that the multi-million dollar investments do not run afoul of ERISA.
    • Advised on the freeze of a defined benefit pension plan with over $1.5 billion in assets.
    • Monitored and advised clients on the vast changes to the employee benefits legal landscape during to the COVID-19 pandemic.
    • Assisted a Fortune 100 company with designing and adopting an equity incentive plan in which both international and U.S. employees could participate.

    • Advised multiple clients on the design and implementation of on-site health clinics to provide employees with easy access to COVID-19 testing and care.
    • Routinely advise on all aspects of employee benefits and employment issues that arise during a merger or acquisition.
    • Prepared submissions on behalf of clients under the Internal Revenue Service’s Voluntary Correction Program to correct plan errors and ensure the preservation of each retirement plan’s tax qualification status.
