Charlie Carroll represents developers, sponsors, investors, and financial institutions in the development, financing, acquisition, and disposition of renewable and other energy projects and related infrastructure in the United States and abroad.
Recently Charlie has been advising emerging pharmaceutical companies participating as borrowers under U.S. government programs to accelerate the production of COVID-19 vaccines. He also has extensive experience with other development and multilateral agency lending transactions and in capital market and other corporate finance, SEC filings and compliance, and corporate governance.
Charlie has advised clients engaged in project financings, holding company financings, tax-equity financings, single-investor and leveraged-leasing, Rule 144A offerings, Term Loan B financings, private placements, acquisitions, dispositions, joint ventures, and workouts. As external and internal counsel for public and private corporations, Charlie has been responsible for initial public offerings, high-yield offerings, and periodic SEC and exchange filings.
In his work with clients participating in the energy transition or otherwise pursuing strategies for growth and innovation, Charlie regularly:
Advises buyers and sellers of renewable and thermal energy projects participating in auctions and negotiated transactions;
Helps investors in battery storage and other emerging technology companies assess, mitigate and allocate risk;
Counsels borrowers on financial covenants, funding conditions precedent and other provisions of loan documents that can materially affect the clients’ future operations and its ability to capitalize on opportunities; and
Assists companies with establishing and unwinding joint development and other joint venture agreements.
Charlie has served as general counsel and deputy general counsel and corporate secretary of two public companies and general counsel of a private equity fund portfolio company. He received his J.D. from New York University School of Law in 1983, where he was elected Order of the Coif and served as Note and Comment Editor of New York University Law Review. He earned his B.A., cum laude, with high distinction in English, from Dartmouth College in 1980.
