Covington Assists Thomson in Acquisition of Information Holdings

NEW YORK, NY, July 7, 2004 - Covington & Burling represented The Thomson Corporation ("Thomson"), a global leader in information solutions, in its merger agreement with Information Holdings Inc. ("IHI").  The merger with IHI, a company that specializes in intellectual property and regulatory information, will strengthen Thomson's Scientific and Healthcare group. 

According to Thomson's news release, a Thomson subsidiary will acquire all outstanding IHI stock for $28 per share.  This merger has been unanimously approved by IHI's Board of Directors.  The transaction is expected to be finalized later this year after it is approved by IHI's stockholders and regulatory authorities.

Covington's legal team was led by J. D. Weinberg, a corporate partner in the New York office, and included Graham Robinson and Jennifer Berrent (corporate); Liz Kessenides and Alison Wang (tax); Lee Tiedrich with assistance from Doug Philips, Stuart Irvin, and Stephen Kaminski (intellectual property); and Michael Francese with assistance from Seth Safra (employee benefits).
