  • Advised Safe Harbour Holdings PLC, a company established with the objective of creating a global leader in the B2B distribution and/or business services sphere, on its AIM IPO and £22.7 million placing.
  • Advised Wilmcote Holdings PLC, a company established with the objective of acquiring and developing businesses in the downstream and specialty chemicals sector, on its AIM IPO and £15 million placing.
  • Acted for Peel Hunt LLP, in its role as nominated adviser, in connection with two separate placings by Motif Bio plc, a company with securities admitted to trading on AIM.
  • Advised Pharming Group N.V., a Dutch publicly-traded pharmaceutical company:
    • on a €104 million financing comprised of a redeemable convertible bond, an amortizable convertible bond, a rights issue and a new senior secured debt facility; and
    • the admission of the redeemable, convertible bond to trading on the Cayman Islands Stock Exchange
  • Advised AstraZeneca in connection with the divestment of its rights to Rhinocort Aqua outside the U.S.
  • Advised the underwriters on certain UK corporate aspects of the U.S. Initial Public Offering of Nightstar Therapeutics plc, a clinical stage gene therapy company.
  • Advised an international e-gaming operator listed on AIM:
    • on its £485 million acquisition of a European and Australian-focused online sports betting and gaming group listed on the London Main Market; and
    • on its c.£1 billion reverse takeover of a rival operator listed on the London Main Market, its associated placing and subscription to raise £150 million and subsequent application for admission to trading on the standard segment of the Official List and the London Main Market.
  • Represented the shareholders of a company that provides car finance on its sale to a listed financial services provider for £120 million.
  • Advised an international provider of payments services, risk management and IT solutions:
    • on its admission to the AIM market of the London Stock Exchange and £75 million international fundraising by way of an institutional placing; and
    • on its acquisition of a privately-held Irish payment and loyalty card service provider.
  • Acted for the nominated adviser on the admission to AIM of its client, which specialised in the development and operation of renewable energy projects.
  • Acted for the sponsor to a company on the London Main Market in relation to an acquisition by that company and the associated firm placing and placing and open offer.
  • Advised a London Main Market specialist healthcare property company:
    • on its firm placing, placing and open offer and offer for subscription to raise c.£150 million;
    • on its re-domicile from Guernsey to England by way of scheme of arrangement; and
    • on its follow-on firm placing, placing and open offer and offer for subscription to raise c.£270 million.
  • Advised a venture capital fund on its multi-million pound investment into a semi-conductor manufacturing business.
