David Dennis advises a broad and varied client base on their key commercial contracts, whether strategic in nature or part of that client’s day-to-day business. Mr. Dennis' practice covers a broad range of life sciences agreements, licensing and clinical trial agreements, intellectual property law and commercial matters.

  • Assisting a top international pharmaceutical company agree a collaboration and option agreement for the discovery of new gene therapies, with potential milestones worth up to $300m, plus royalties.
  • Advising a Japanese pharmaceutical company on their clinical trials in nine European countries and Israel.  Included drafting clinical trial agreement templates, advising on negotiations and general advice on the Clinical Trial Directive and running clinical trials in Europe.
  • Assisting a U.S.-based technology company with the purchase of key assets from a UK-based chip manufacturer.
  • Advising a UK- and Asia-based pharmaceutical company on the use of off-label prescription of medicine, including issues of consent, liability and requirements of the Clinical Trials Directive.
  • Establishing clinical trial programmes for a major pharmaceutical company in numerous trials in over 20 countries, including negotiating with trial sites and drafting template clinical trial agreements, study team service agreements, medical testing service agreements, radiologist service agreements and a variety of ancillary documents.
  • Assisting a medical devices company in negotiating and agreeing distribution agreements for Europe.
  • Advising the sponsor of a pioneering UK clinical trial on its engagement with the Medicines and Healthcare Products Regulatory Authority in relation to a Freedom of Information request received by the MHRA regarding the trial, including advice on possible exemptions and how to claim them.
  • Advising on IP and contractual matters for CompeteFor, originally the online procurement portal for the London Olympics, including advice on the transfer of the portal; ownership and transfer of trademarks, domain names and proprietary software used for website functionality; reviewing online terms and conditions; advising on the introduction of the Privacy and Electronic Communications (EC Directive) (Amendment) Regulations 2011; and explaining relevance of and triggers for the software escrow agreement.
