    Corinne Goldstein has decades of experience advising clients on the application to their worldwide operations of U.S. economic sanctions, export controls, and antiboycott programs.

    She has particular expertise advising on the primary and secondary sanctions programs administered by the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC). Her clients include leading U.S. and non-U.S. companies in the oil and gas, financial services, pharmaceutical, general manufacturing, and other sectors that must navigate these sanctions regimes in their day-to-day businesses. Because of her deep expertise, Corinne is able to provide thoughtful and practical advice to difficult questions these industries face.

    In her work with multinational companies, Corinne regularly:

    • Advises clients on novel and complex interpretive issues relating to the application of new and existing U.S. sanctions regimes,
    • Prepares corporate trade controls policies and procedures,
    • Develops trade controls compliance and training programs,
    • Secures U.S. government licenses,
    • Conducts internal investigations of potential violations of applicable regulations, and
    • Represents clients in enforcement proceedings.

    • Advise several major international oil & gas companies concerning the application of U.S. sanctions against Iran, Syria, Russia, Venezuela and other U.S.-sanctioned jurisdictions and parties to their day-to-day operations businesses.
    • Counsel major U.S. and non-U.S. banking institutions concerning the application of U.S. sanctions to their various investment and financial activities.
    • Represented a major non-U.S. financial institution in connection with investigations by the U.S. Department of Justice, the Federal Reserve Board, the Manhattan District Attorney, the New York State Department of Financial Services, and OFAC into its processing through the United States of U.S. dollar transactions for U.S.-sanctioned parties.
    • Developed sanctions compliance policies and procedures for a another major non-U.S. financial institution as required by its settlement with the Federal Reserve Board in connection with its processing of U.S. dollar transactions involving U.S.-sanctioned parties through U.S. banks.
    • On behalf of an Audit Committee, conducted a significant internal investigation of sales by a U.S. energy-sector company and its foreign affiliates to U.S.-sanctioned countries and prepared a voluntary disclosure to the U.S. Treasury and Commerce Departments concerning the findings of the investigation.
    • Representing a major Russian automotive company in connection with its efforts to be removed from OFAC’s List of Specially Designated Nationals and Blocked Persons (the “SDN List”).
    • Advised a shipping company in connection with its successful effort to be removed from OFAC’s SDN List.

    • Advise both sellers and buyers in mergers and acquisitions concerning the application of U.S. sanctions and export controls to the business being transferred, including leading due diligence efforts and preparing representations and warranties and other contract provisions relating to trade controls risks and allocation of liability.
    • Developed policies and procedures relating to foreign trade controls compliance for a medical device company and a scientific research company.
    • Advise multiple U.S. and non-U.S. companies concerning exports of food, medicine and medical devices to U.S.-sanctioned jurisdiction and parties, including securing specific OFAC licensing when required.
    • Advised a major defense company concerning the application of the State Department regulations to exports of defense articles and disclosure of controlled technology.
    • Counsel major U.S. companies in the transportation, oil & gas, and technology sectors in connection with the application of the U.S. Treasury Department and Commerce Department antiboycott regimes, and represent them in Commerce Department enforcement proceedings.
