William Woolston is an associate in the firm’s Washington office.  His practice focuses on all aspects of employee benefits and executive compensation.  He has experience structuring and amending employment, severance, retention, and other arrangements.  Mr. Woolston has also advised defined contribution plan sponsors regarding fee structures, expenses, and the allocation of fiduciary responsibility.  He has a welfare benefit plan design background from working in the insurance industry and extensive in-house accounting experience from other prior positions.

Representative Matters

  • Advising multiple organizations on redesign of executive deferred compensation arrangements to comply with Internal Revenue Code Section 409A.
  • Assisting Fortune 100 company in civil ERISA fiduciary litigation regarding 401(k) plan investments in sponsor’s company stock.
  • Advising Fortune 100 company on fees and expenses in its defined contribution savings plan.
  • Providing benefits-related due diligence advice in a corporate acquisition.
