Gus Caywood's practice focuses primarily in corporate and securities law, including acquisition and high-yield financing, and corporate restructuring. He also advises on capital markets new product development, and corporate finance-related disputes including those arising out of leveraged buyouts and recapitalizations and related financing. He worked with the SEC's staff in developing the Commission's 1996 Report of the Task Force on Disclosure Simplification.
Representative Matters
- Advising a leading independent power generation company regarding the structuring of several major capital markets financings and other financial transactions, as well as disputes with the company’s bondholders.
- Advising a major natural resources company regarding various structural aspects of a multi-billion dollar stock repurchase transaction and related bank financing and asset divestitures.
- Advising a U.K. money manager regarding the Investment Company Act and other U.S. securities law aspects of the acquisition of a large portfolio of holdings in private investment funds.
