Todd Hamblet is a special counsel in our San Francisco office.  His practice focuses on domestic and international capital markets transactions, including SEC-registered equity and debt offerings, Regulation S/Rule 144A global offerings, Rule 144A private placement offerings, private investment in public equity (PIPE) offerings and private placements of equity and debt securities.  In addition to his transactional practice, Mr. Hamblet advises domestic and foreign private issuer clients on reporting obligations under the Securities Exchange Act of 1934 and corporate governance matters, as well as general regulatory, legal and business matters.

Prior to joining Covington, Mr. Hamblet worked at leading global law firms advising clients in North America, EMEA and Asia.

Representative Matters

  • Represented Global Hunter Securities, LLC, Moelis & Company LLC and Aegis Capital Corp., as underwriters and book running managers, in connection with the $14 million SEC-registered follow-on public offering of common stock on the NYSE Amex by Comstock Mining Inc., a Nevada-based gold and silver mining company with extensive, contiguous property in the Comstock District.
  • Represented EDAP TMS, a French medical device company, in connection with its exchange offer for outstanding debentures and warrants and subsequent SEC-registered offering of ordinary shares and warrants.
  • Represented 7 Days Group Holdings, a China-based economy hotel chain, in connection with its SEC-registered initial public offering of ADSs on the NYSE.
  • Represented Morgan Stanley & Co. International plc, J.P. Morgan Securities Inc. and China International Capital Corporation Hong Kong Securities Limited in connection with the SEC-registered initial public offering of ADSs on the NYSE by Concord Medical Services Holdings Limited, a Chinese medical device company.
  • Represented InSite Vision Incorporated in connection with its PIPE offering of $22.2 million of common stock and warrants.
  • Represented Cell Therapeutics, Inc. in connection with multiple SEC-registered offerings of its convertible securities.

  • Awarded “Pro Bono Transaction of the Year - 2009” by a leading global law firm.

Pro Bono

  • Represented Deutsche Bank Community Development Group in connection with the formation of Eye Fund I, LLC (Eye Fund), a $20.0 million investment fund to provide microfinance to support the development of affordable, sustainable and accessible eye care in developing countries.  Partners in the Eye Fund include the International Agency for the Prevention of Blindness, the largest association of eye care intermediaries, and Ashoka, a non-profit organization that identifies and invests in leading social entrepreneurs.
