Scott F. Smith leads the firm's M&A and private equity efforts. He is a principal advisor to companies, investment banks and private equity funds, including Pfizer, Goodyear, UBS, Greenhill, Charlesbank Capital Partners and Perseus Group. He advises corporate boards, special committees and audit committees on corporate governance and general securities law matters.
Mr. Smith led the Covington team advising Kerr-McGee in its $18 billion merger into Anadarko Petroleum Corp. and represented JLG Industries in its $3.2 billion merger with Oshkosh Truck. He also led Covington's team for Kerr-McGee in its defense of a hostile proxy contest with Carl Icahn, and its $4 billion stock buyback, as well as its $3.4 billion acquisition of Westport Resources.
Recent private equity work includes the sale by Charlesbank Capital Partners of American Tire Distributors and Regency Gas Services, and the acquisitions by Perseus as equity sponsor of Haggar and Relizon, as well as Perseus’ sale of Maritime Telecommunications Network.
Other M&A transactions include Coty's purchase of Del Labs from Kelso and of Unilever's global fragrance business and the sale of its Chinese cosmetics business to L'Oreal, Pfizer's acquisition of Idun Pharma and Coley Pharmaceuticals, and Johnson & Johnson's acquisitions of Atrionix, Inc. and TERAMed, Inc. He also assists companies and private equity funds in debt and equity financings, including Kerr-McGee and Goodyear Tire and Rubber, and portfolio companies of Charlesbank Capital, Perseus and other private equity firms.
