Stuart Irvin advises clients on a wide range of intellectual property transactions, including joint ventures, strategic alliances, and licensing agreements.  He has worked extensively with manufacturers of highly branded goods, including cosmetics, designer apparel, and alcoholic beverages.  He has represented software and other technology developers in transactions with licensees and has represented the licensees of software and other technology in their dealings with licensors.  Mr. Irvin has negotiated and drafted complex settlement agreements to resolve disputes over patents, trademarks, and other intellectual property assets.  He was involved in many high-profile internet transactions during the bubble years and continues to provide advice to clients on internet content creation and licensing, technology development and acquisition, automated trading platforms, ASP transactions, data licensing, and other transactions.  Mr. Irvin is qualified to practice law in England and Wales.

Representative Matters

  • Structured transactions and negotiated agreements for Microsoft, Newsweek, The Washington Post, Goodyear, Reliance, Kyocera, Shiseido, NFL, Schering-Plough, Bacardi, SPI Group (owner of Stolichnaya brand), Armani and a number of small- and mid-size companies.
  • Advised international environmental organizations in the negotiation and documentation of debt-for-nature swaps, including a deal that reduced the sovereign debt of the Government of Belize to the Government of the United States by half, a transaction in Peru that will help conserve an area of tropical forest that is larger than the State of Virginia, and two transactions in Panama that will help protect thousands of acres in the vital Panama Canal watershed and in the unspoiled DariĆ©n gap region.

  • Advised the Marshall Heights Youth Development Program on various matters relating to the Bison football team, a perennial contender for the national title in the Pop Warner youth football league.
  • Counsel to Developments in Literacy, a US nonprofit founded to provide education to disadvantaged children, especially girls, in the underdeveloped regions of Pakistan.
