Simon Goodworth is a partner in the firm’s London office. He is an English solicitor working within the firm’s corporate practice. Mr. Goodworth was a partner in a leading City of London law firm between 1986 and 2002, when he joined Covington.
Mr. Goodworth’s practice and experience are wide ranging, including mergers and acquisitions (both public and private), funds and investments (including fund formation, primary investments, secondary transactions (directs and funds) and co-investments), private equity, securities work and finance. Much of his practice is, and has for many years been, international in nature, with most transactions upon which he advises having significant cross-border dimension. With respect to funds and investments, he advises both fund sponsors and major investors, and has particular experience in relation to the US, European, Asian and Australian markets, and is involved in developing the practice within other markets in Africa and Latin America. Mr. Goodworth’s expertise also includes advising publicly listed and private companies, and financial institutions, in a broad range of transactional matters.
Mr. Goodworth is closely involved (working with the firm’s regulatory specialists) in monitoring developments in the regulation of the financial services sector within the EU and the US, particularly with respect to the private equity industry.
Representative Matters
- Successfully represented the sellers in relation to the sale of a significant medical device company and a related business to a US public company, in a complex transaction involving a variety of jurisdictions and novel issues.
- Advised a private equity investor with respect to its proposed participation in a consortium bidding to purchase a major UK regional airport.
- Advised investors with respect to co-investment transactions, including public-to-private transactions, and including some of the largest such transactions in Europe.
- A listed UK public company, with respect to a £100 million multicurrency revolving facility agreement arranged by The Royal Bank of Scotland.
- Advising a private equity group with respect to the establishment of customised investment vehicles for separate account clients.
- Advising a private equity investor with respect to the proposed acquisition of a substantial portfolio of co-investment interests in diverse companies in a large number of different European jurisdictions, including undertaking a detailed due diligence exercise.
- Successfully advising numerous private equity fund-of-funds with respect to primary investments in funds established and operating in diverse jurisdictions and regions.
- Successfully advising numerous secondary investors with respect to secondary transactions (many of which have been large portfolios) in fund interests and direct interests, and including synthetic secondaries.
- Advising a private equity group with respect to a proposed bid for a major listed European investment fund, including substantial advice with respect to structuring and tax risk management.
- A private equity fund, in relation to a $323 million facility agreement, structured by reference to subscribed commitments to the fund, with Lloyds TSB Bank PLC.
