We have advised clients with respect to a broad range of transactions requiring various types of corporate partnering. In particular, we have special expertise in structuring and negotiating joint ventures and strategic alliances in the Life Sciences industry.
Recent representations include:
- Gilead Sciences in a series of joint ventures and collaborations with Bristol-Myers Squibb and Merck for the worldwide development and commercialization of a triple combination HIV therapy.
- Procter & Gamble Pharmaceuticals in a strategic alliance with ARYx Therapeutics to develop a novel compound for the treatment of GERD, valued at $435 million.
- J. Craig Venter Institute in the spin-out of synthetic genome technology to Synthetic Genomics, Inc., and related Sponsored Research Agreement.
