Robert Heller is a partner in the firm’s New York office.  Mr. Heller's practice focuses on the tax aspects of corporate and partnership transactions including mergers and acquisitions, private equity investments, public and private capital markets transactions, joint ventures and corporate restructurings.  He also advises private equity sponsors in connection with fund formations and related matters as well as secondary purchasers of limited partnership interests in private equity funds.  Mr. Heller's private equity experience includes advising Matlin Patterson Global Advisors and Brysam Global Advisors in connection with fund formations and regular representation of Charlesbank Capital Partners in its acquisitions and dispositions of portfolio companies.  His partnership and joint venture experience includes frequent representation of clients in the formation of media joint ventures.

Representative Matters

  • Represents the Pantheon Group in connection with numerous primary and secondary private equity fund investments.
  • Represented Kerr-McGee in its $18 billion acquisition by Anadarko Petroleum.
  • Represented Kerr-McGee in the initial public offering and spin-off of its chemicals business, Tronox Incorporated.
  • Represented Charlesbank Capital Partners in its acquisition of Zenith Products Corporation and the Horn Companies and its disposition of The GSI Group.
