Paul Rogers is a partner with a broad-based corporate and securities transactional and advisory practice.  His practice is focused on mergers and acquisitions, venture capital investments, public and private securities offerings, corporate governance and commercial transactions.  He has served as outside counsel to numerous companies, ranging in size from the development stage to large public companies, entrepreneurs and venture capital firms.  Mr. Rogers is co-chair of Covington’s Venture Capital and Emerging Companies practice.

Mr. Rogers has experience in a number of industries, including government services, defense, e-commerce, communications, software, computer equipment, biotechnology, distribution, manufacturing and real estate.  Mr. Rogers has practiced in both Boston, MA and Washington, DC.

  • CVG, Inc., a provider of secure, satellite-based communication solutions, in its sale to Integral Systems, Inc.
  • Several privately-held companies engaged in government services in their sales to public companies.
  • BiddingForGood, Inc., an online charitable giving platform, in multiple equity and debt financings.
  • Expansion Capital Partners, a clean technology venture capital fund, in multiple equity and debt financings of Orion Energy Systems, Limited and Element Labs, Inc.
  • United Natural Foods, Inc., a distributor of natural products, in its (i) initial and follow-on public offerings, (ii) periodic securities filings and (iii) acquisition of Millbrook Distribution Services, Inc.
  • XLHealth Corporation, a provider of health care services, in its (i) equity and debt financings and (ii) acquisition of Leprechaun, LLC.
