Paul Rogers is a partner who practices in the areas of corporate and securities law with an emphasis on the representation of entrepreneurs, start-ups, public and private high technology companies, venture capital firms and underwriters of public offerings. He has handled a number of initial public offerings for technology companies and underwriters based in Northern Virginia, Boston and other locales.
Mr. Rogers has represented issuers, investors and underwriters in private and public equity and debt offerings and has acted as counsel to a wide range of companies in the communications, internet, software, computer equipment, biotechnology, distribution, retail and manufacturing industries.
Mr. Rogers’ most recent venture capital transactions include representation of cMarket, Inc, XLHealth Corporation and Zycos, Inc. as issuers, and Expansion Capital Partners and Vantage Point Venture Partners as investors. Among his most recent M&A transactions are the acquisitions by United Natural Foods, Inc. of Millbrook Distribution Services, Inc., and XLHealth Corporation of Leprechaun LLC. His most recent public offerings included issuances by Cysive Inc., Proxicom Inc. and VarsityBooks.com Inc.
Mr. Rogers received a J.D., cum laude, from Georgetown Law School in 1985, where he was an editor of the Georgetown Law Journal. He received a B.A., cum laude, from Williams College in 1979.
