We regularly counsel clients regarding compliance with regulations governing the activities of insured depository institutions and their holding companies, including with respect to capital, branching, insider lending, transactions with affiliates, and permissible activities.  Our practice also includes the preparation and filing of all significant types of necessary regulatory applications.  In connection with such applications, we often provide strategic advice regarding charter selection and corporate structure.   In many instances, we have confronted long-standing obstacles facing the banking industry and, in cooperation with our clients and bank regulators, have shaped novel solutions that have won regulatory approval.

Just as importantly, the breadth and depth of our regulatory practice have enabled us to develop an extensive understanding of both the regulatory structures of particular agencies and the decision-making processes of those agencies.  Our experience with federal and state bank regulatory authorities is a hallmark of the firm’s practice.

Representative Matters

  • Representing both state-chartered and federally-chartered financial institutions in connection with a variety of charter conversions and expansions, including preparation of the required regulatory applications.
  • Representing numerous financial services clients in structuring noncontrolling equity investments in other companies, and numerous companies in structuring similar investments in financial institutions.
  • Advising many domestic and foreign bank holding companies regarding the activities permissible under the Bank Holding Company Act and Regulation Y.
  • Assisting many non-banking companies in entering the banking business, including through the acquisition of existing federally-insured depository institutions and the establishment of such institutions de novo.
  • Advising clients regarding regulatory action with respect to bank concentrations in commercial real estate lending.
