Development
Attorneys in our Real Estate practice handle real property acquisitions and developments, representing purchasers, sellers or investors.  We represent owners with respect to the negotiation of their design, development, project management, and construction documents for their facilities and other capital improvement projects.  We routinely handle projects as varied as the planning and development of residential subdivisions, new home construction, and the ownership and operation of commercial office buildings, industrial and warehouse projects, build-to-suit corporate facilities, government-leased buildings, shopping centers, hotels apartment communities and all types of residences for individuals.

Commercial Leasing
Our real estate lawyers regularly advise clients on commercial lease transactions of all types and magnitudes, as both landlord and tenant.  We handle ground leases, site-leasebacks, retail leases, synthetic leases, as well as standard commercial office leases and subleases.  We routinely handle multiple leases or subleases in a building for the same client, and structure complex long-term lease arrangements involving office, retail, and mixed-use facilities.  Our greatest strength and experience is in representing “end users” of real estate developments, whether as owner, ground lessee, joint venture partner, or lead tenant.

Construction
We advise our clients on both new construction and renovation of commercial properties, including preparation and negotiation of architectural, engineering, or consulting agreements, construction contracts, and finance documents.  We also provide advice to our clients with respect to building code and environmental issues which arise in connection with their construction projects.

Representative Matters

  • Washington Metropolitan Area Transit Authority.  WMATA in its negotiation with a private real estate developer for the redevelopment of a WMATA site that created 270 new multi-family residential apartment units and 70,000 square feet of retail space, together with a structured parking facility.
  • The Goodyear Tire & Rubber Company in the $280 million sale-leaseback of its six main North American distribution facilities in five states containing nearly 4.7 million square feet. 
  • RREEF in its leasing activities as landlord in a portfolio of office and industrial buildings in the mid-Atlantic region.
  • RLA Revitalization Corporation in the disposition, ground leasing, and redevelopment of its 3.2 acre, 843,000 square foot Wax Museum project at 5th and K Streets, NW, now known as CityVista.  This project won the Washington Business Journal’s award for “Best Financing of 2005.”  We also advised RLARC in its negotiations with Waterfront Associates for the sale and redevelopment of RLARC’s fee simple interest in 13.5 acres of land in Southwest DC.
  • The JBG Companies.  Representation of a joint venture affiliate of The JBG Companies as owner and developer of a premier 200,000 square feet Class-A office building at 1601 K Street, NW, in Washington, DC.  Our work involved the negotiation of its joint venture agreement with an institutional capital source, its $60 million construction financing, and the negotiation of the building’s principal lease with the international law firm of Kirkpatrick & Lockhart Nicholson Graham.  We also advised on the initial financing and development of a related office building at 1601 L Street, NW, providing expansion space for the lead tenant.  The lease was recognized as a finalist in 2003 for “Best Urban Office Lease” by the Washington Business Journal.
