We have significant experience representing parties in connection with sales of assets of financially troubled companies both outside of bankruptcy proceedings or those conducting Chapter 11 cases via “363 transactions.”  We combine the skills necessary to traditional M&A transactions with the specialized knowledge of insolvency, fraudulent transfer, risk protection and similar issues that must be properly addressed in order to protect our clients’ interests and expectations.  Our lawyers in this area are particularly adept at acquisitions of intellectual property from distressed companies and recently have been involved in a number of such transactions, including the patent sales of Nortel and Eastman Kodak.  Our lawyers have been involved in the following transactions:
