We have a strong and growing finance practice in our London office. We are involved in a significant number of complex, high value, and demanding banking and other finance transactions, most of which have an international dimension. Our London-based team frequently works closely with our finance specialists in the firm’s US offices.
Our London finance lawyers, who are drawn from our corporate group, advise corporate borrowers, commercial banks, private equity funds, and other financial institutions on a broad range of financing transactions. Our experience includes public market debt issues, credit facilities for both investment grade and non-investment grade borrowers, acquisition financings, structured financings, project financings (particularly on power and infrastructure projects), restructurings, syndications, and loan participations. In addition, our London-based US lawyers advise on Rule 144A and Regulation S private placements and other US securities laws issues that arise in financings having a US dimension.
Our finance lawyers draw on the firm’s extensive experience, considerable regulatory and commercial expertise, and specialised industry knowledge (particularly in the energy, life sciences, sports, technology, and financial institutions sectors). As a result, we advise in a relevant, commercial, and effective manner on structuring, documenting, and negotiating the broad range of financing agreements and related security documents.
Although most of the finance work handed by our London office is European based, we also work extensively elsewhere, especially in the Indian market where we have established a number of important relationships with leading banks and companies.
¾ Advising ICICI Bank Limited, India’s second largest bank, and Standard Chartered Bank, India’s largest international bank, as joint lead arrangers for an aggregate of $925 million in project financings supporting two separate projects being undertaken separately by Reliance Ports and Terminals Limited and Reliance Utilities Limited.
¾ Advising Pantheon, a leading private equity fund of fund manager, on numerous credit facilities including, in relation to Pantheon International Participations PLC, a £150m multi-currency revolving syndicated credit facility, and for another Pantheon managed fund, a similar facility, in the sum of $56m, for the purpose of financing an acquisition.
¾ Representing Indian Energy in a debt facility to finance the establishment of a wind energy project in Karnataka, India.
¾ Advising Reliance Infocomm Limited, the Indian telecoms company, in connection with a $750 million secured credit facility (under English law) from the Export-Import Bank of the United States and Export Development Canada, Citibank N.A. and Citicorp North America, Inc.
Advising a major US-based utility company on two structured financings totalling over $600 million, secured against assets located in the UK.
