Nora Gibson is a corporate partner in our San Francisco office. Ms. Gibson specializes in corporate and securities transactions representing leading investment banks and corporate issuers in connection with registered public equity and debt offerings, 144A private placement offerings, private investment in public equity (PIPE) offerings, and mezzanine-level private placements of equity and debt securities.
Ms. Gibson has served as lead attorney on more than 100 initial public and follow-on offerings, primarily by growth-oriented technology and biotechnology companies and has served as lead underwriters' counsel on numerous public offerings, including those of Juniper Networks, Netscreen Technologies, CV Therapeutics, Inc., Ask Jeeves, Inc., Netlogic Microsystems, Inc., NBC Internet, Inc. and Logitech International S.A.
Ms. Gibson also has extensive expertise in cross-border corporate transactions, including Blinkx, Inc. and Entelos, Inc.’s initial public offerings on the Alternative Investment Market of the London Stock Exchange, the registered direct offering of Amarin Corporation’s ADS securities on Nasdaq and the secondary offering of Infosys Ltd. ADR securities. Ms. Gibson has also represented public and private China-based clients, as well as US-based corporations engaging in cross-border transactions with Chinese counterparties.

- Represented Global Hunter Securities, LLC; Moelis & Company LLC; and Aegis Capital Corp., as underwriters and book running managers, in connection with the $14 million follow-on public offering of Common Stock on the NYSE Amex by Comstock Mining Inc., a Nevada-based gold and silver mining company with extensive, contiguous property in the Comstock District.
- Represented Lam Research Corporation, a leading supplier of wafer fabrication equipment and services to the worldwide semiconductor industry, in connection with its issuance of $450 million of 0.50% Convertible Senior Notes due 2016 and $450 million of 1.25% Convertible Senior Notes due 2018 in a Rule 144A offering, initial purchasers J.P. Morgan Securities LLC and Goldman Sachs & Co.
- Represented selling shareholder Geyser Investments Pte. Ltd., a private limited company organized under the laws of the Republic of Singapore, in connection with multiple sales of Ordinary Shares in the US public offerings of Avago Technologies Limited, a leading supplier of analog interface components for communications, industrial, and consumer applications.
- Represented Burrill Life Sciences Capital Fund, L.P., Burrill Indiana Life Sciences Capital Fund, L.P., Delaware limited partnerships, and G. Steven Burrill, as selling stockholders, in connection with the sale of $46.3 million of Common Stock in a public offering by Pharmasset, Inc., a pharmaceutical company committed to discovering, developing, and commercializing novel drugs to treat viral infections.
- Represented Morgan Stanley & Co. Incorporated in connection with the $60 million IPO of Common Stock on the Nasdaq Global Market by Map Pharmaceuticals, Inc., a biopharmaceutical company focused on developing and commercializing new therapies to address undermet patient needs in neurology.
