Natalie Diep is a partner in the Corporate Practice and is resident in Covington's London office.

Ms. Diep advises on a wide range of corporate finance issues including mergers and acquisitions, equity offerings, private placements and initial public offerings in the UK and abroad.  Her practice covers a range of industries, although she has a particular expertise in the life sciences, technology and clean technology sectors.  Ms. Diep's clients include both corporates and financial institutions.

Representative Matters

  • Advised Axis-Shield plc on the £235 million all cash public takeover offer from Alere, Inc., a US company listed on the New York Stock Exchange.  Axis-Shield is an international company focused on the development and manufacture of important in vitro diagnostic tests for use in clinical laboratories and at the point of care.  Axis-Shield is listed on the London Stock Exchange and also on the Oslo Stock Exchange.  Alere’s offer for the company was initially made on a hostile basis and vigorously defended by Axis-Shield and its advisors.  Ultimately, the board of Axis-Shield recommended an increased cash offer from Alere valuing the company at £235 million.
  • Represented Oxford Biomedica plc, listed on the London Main Market, on a placing and open offer to raise approximately £20 million.
  • Represented Amsterdam Molecular Therapeutics NV in relation to its successful IPO on Euronext and related €50 million fundraising.
  • Advised Liberum Capital Limited, acting as nominated adviser and broker, on the IPO of Halosource, Inc. on AIM and a related US$80 million fundraising.
  • Advised Evolution Securities Limited, acting as nominated adviser and broker, and Piper Jaffray Limited, acting as joint broker, on an institutional placing raising approximately £32 million for AIM listed Monitise plc.
  • Advised Vernalis plc, listed on the London Main Market, on its two placing and open offers raising approximately £24 million and £30 million respectively.
  • Advised Piper Jaffray Limited, acting as financial adviser, sponsor and broker to Cathay International Holdings Limited, listed on the London Main Market, on a placing and open offer to raise approximately £27 million and the subsequent disposal of a subsidiary by means of an IPO on the Hong Kong Stock Exchange.
  • Represented Intradigm Corporation on its merger with AIM-listed Silence Therapeutics plc and a related £15 million fundraising.
  • Represented Acambis plc, listed on the London Main Market, in relation to the £276 million recommended takeover offer by sanofi-aventis, implemented by a court-approved Scheme of Arrangement.
