Kyle Rabe is an associate in the corporate group and is resident in our New York office.  His experience includes public and private acquisitions and dispositions, as well as advising companies on takeover defenses and in the conduct of proxy contests.

Representative Matters

  • Represented Salix Pharmaceuticals in its $2.6 billion acquisition of Santarus, Inc.
  • Represented P. Schoenfeld Asset Management LP (PSAM) in its successful proxy contest to require a renegotiation of the terms of the business combination between MetroPCS and T-Mobile.
  • Represented SandRidge Energy Inc. in its response to a campaign by activist investor TPG-Axon to change control of the SandRidge board of directors.
  • Represented the National Hockey League in negotiating its twelve-year, C$5.2 billion agreement with Rogers Communications for national broadcast and multimedia rights to NHL games, including the Stanley Cup Playoffs and the Stanley Cup Final, in Canada.
  • Represented King Pharmaceuticals, Inc. in its $3.6 billion merger with Pfizer Inc.
  • Represented Charlesbank Capital Partners, LLC in its acquisition of Cedar Creek Lumber.
  • Represented Financial Federal Corporation in its $738 million sale to People's United Financial, Inc.
  • Represented Joy Global in its $1.1 billion acquisition of LeTourneau Technologies from Rowen Companies.
  • Represented a US fund sponsor in the formation and marketing of a $1 billion private equity fund.
  • Represented fund-of-funds sponsors in numerous private equity fund secondary transactions.
