Katherine Mineka is a member of Covington & Burling’s Employee Benefits practice group. Ms. Mineka counsels clients on all aspects of employee benefits and executive compensation, including compliance with the Internal Revenue Code and ERISA, the treatment of employee benefits in corporate transactions, and ERISA litigation. Her practice covers tax-qualified retirement plans, health and welfare plans, equity compensation, and nonqualified deferred compensation plans, among other areas. She also advises employee benefit plans and funds of funds on investments in private equity funds, hedge funds, and complex financial instruments.

Representative Matters

  • Advised Kerr-McGee on benefits and executive compensation issues in connection with its $18 billion merger with Anadarko Petroleum.
  • Provided guidance on the application of the plan assets regulation to a major private equity investor in connection with secondary market purchase of close to 100 venture capital fund interests, including advice on the impact of the Pension Protection Act of 2006 and novel structuring issues.
  • Advised a new public company on the establishment and operation of its employee benefit plans and executive compensation programs resulting from its spinoff from another corporation.
  • Amended nonqualified deferred compensation arrangements and incentive plans to comply with IRC Section 409A, proposed Treasury regulations, and other executive compensation rules.
