Ken Ebanks is a partner in the firm’s corporate group and works out of the San Francisco and Silicon Valley offices.  His practice covers a wide range of corporate transactions and matters, with a particular focus on digital media and entertainment, life sciences and cleantech.

Mr. Ebanks represents numerous leading private and public companies, venture capital firms, financial services groups and national sports leagues, while also regularly serving as outside general counsel to start-ups, emerging companies and entrepreneurs.  His transactional practice includes financings, joint ventures and collaboration agreements, mergers and acquisitions, licensing and technology transactions, executive employment arrangements, Internet and Cloud transactions, and film, publishing and digital distribution deals.

Mr. Ebanks also has substantial experience in cross-border transactions in Europe, Asia and Australia, and practiced corporate law in Geneva, Switzerland for several years.

Representative Matters

  • The University of California, Santa Cruz, on the creation of a national bioinformatics database and network to provide for secure storage, access and cataloging of cancer-related genome data by leading cancer research facilities.
  • Prosper Marketplace, an online peer-to-peer lending platform (and one of the Wall Street Journal’s 50 Most Promising Companies for 2011), in a $26 million Series E financing led by Draper Fisher Jurvetson.
  • Patagonia in a wide range of media/entertainment transactions, including the production and financing of numerous films (such as 180 South, Mountain of Storms and DamNation), publishing agreements, joint ventures and product placement arrangements.
  • Solazyme, a leader in renewable oil and bioproducts, on the formation of Solazyme-Roquette Nutritionals, an international joint venture with Roquette Frères of France for the production, commercialization and market development of microalgae-derived food ingredients.
  • OVP Venture Partners as lead investor in a $30 million Series B financing of Fate Therapeutics, Inc., a California-based company focused on using stem cell technology to develop compounds to guide cell fates for therapeutic purposes.
  • Merck in connection with international integration issues and transactions arising from its merger with Schering-Plough.
  • The Wine Group, Inc., the third largest U.S. wine company, in a wide range of domestic and cross-border corporate and intellectual property issues.
  • The National Football League in a wide range of digital media transactions, including the joint venture with Yahoo! for NFL Game Pass, a subscription service for international broadband streaming of NFL games.
