Ken Ebanks is a partner with the firm’s corporate group in San Francisco.  His practice focuses on mergers & acquisitions, licensing, digital media & entertainment, and emerging company matters. 

Mr. Ebanks advises public and private companies, venture capital and private equity funds, start-ups and entrepreneurs on a broad range of transactions and matters, including acquisitions and sales, joint ventures, financings, licensing and content deals, distribution arrangements, employment agreements, e-commerce and blogging.  His clients include media and publishing firms, sports leagues, videogame developers, software and Internet ventures, film and television producers and distributors, life sciences companies and financial services firms.  Mr. Ebanks also has substantial experience with cross-border transactions across Europe, Australia and the Pacific Rim, and practiced corporate law in Geneva, Switzerland for several years.

Mr. Ebanks is a member of San Francisco Mayor Gavin Newsom’s Digital Media Advisory Council, and also serves as Hiring Partner for the San Francisco office.

Representative Matters

  • The Charles Schwab Corporation in its acquisition of Etelligent Consulting, Inc., a leading provider of technology and back office services to registered investment advisors, and in connection with various intellectual property and securities matters.
  • The National Football League in a wide range of digital media transactions, including deals with Amazon for digital downloads of NFL programming and with Yahoo! for NFL Game Pass, a subscription service for international broadband streaming of NFL games.
  • CBS Television Network Affiliates Association in negotiations with CBS Interactive for Internet content streaming of CBS entertainment, sports and news content on participating affiliate station websites.
  • Yahoo! on online advertising and transactional matters.
  • Radio One, Inc. in its acquisition of Giant Magazine LLC, publisher of Giant Magazine.
  • Results Radio LLC in the sale and acquisition of multiple broadcast stations across California.
  • Patagonia, Inc. on multiple film and publishing agreements and joint ventures.
