Karen Brooks is an associate in the corporate practice group in the London office who joined the firm in September 2008.  Ms. Brooks’ practice covers a wide range of commercial and transactional matters, including private equity, mergers and acquisitions, US securities law and general corporate advisory and commercial work.

Representative Matters

  • Represented Scient'x S.A. in connection with a multi-jurisdictional secured loan by Oxford Finance Corporation, a life sciences venture lender, to Scient'x USA, Inc. secured by the stock and assets of Scient'x S.A. and subsidiaries in France, Italy, Australia and the United Kingdom.
  • Represented a New York corporation in its admission to trading on AIM.
  • Represented a New York-based private equity fund in its acquisition of a multi-national sports and entertainment stadium company.
  • Represented a New York-based hedge fund in its formation of a private equity fund.
  • Advised an international jewellery company on its corporate governance and other obligations as a foreign private issuer in the United States.
  • Represented a leading international hotel chain in a bid for a major foreign hotel consortium.
  • Advised a New York liquor company in a joint venture and re-organisation with another business.

Pro Bono

  • Represented Legal Services of New York in its corporate governance matters.  Responsible for reviewing and drafting board member policies and procedures, compliance manuals and ethics policies.
  • Successfully represented a Ukrainian asylum seeker before a federal immigration court in New York City.  Responsible for submitting asylum application to the Department of Homeland Security and the brief to the federal immigration court.
  • Assisting Human Rights Watch with its ongoing monitoring of war crimes tribunals in the Congo.  Attended and monitored the confirmation hearing for an accused criminal in the Hague, June 2008.
