Jessica W. Chan helps corporations and individuals successfully defend against government allegations of misconduct and helps corporations favorably resolve securities and derivative litigation.  Ms. Chan has counseled clients in a wide range of industries, including financial, healthcare, pharmaceutical, technology, consumer products, and energy.  Ms. Chan’s work has resulted in numerous swift declinations by the U.S. Department of Justice, Securities and Exchange Commission, and state agencies and the efficient resolution of complex litigation.

Representative Matters

  • Representing a Fortune 500 pharmaceutical manufacturer in investigation by criminal and civil divisions of the U.S. Department of Justice regarding compliance with Current Good Manufacturing Practices (cGMP).
  • Representing an operations executive of global energy company in investigation by U.S. Department of Justice against allegations of violations of the Clean Air Act.
  • Representing technology company in responding to third-party subpoena in SEC investigation of sales partner alleging accounting fraud.
  • Conducting anti-corruption compliance assessment for computer software company.
  • Obtained favorable settlement while representing the directors and officers of technology company in shareholder derivative suit.
  • Represented former executive of consumer products company against allegations of insider trading, which resulted in no further action by the SEC.
  • Conducted internal investigation on behalf of audit committee of large technology company regarding stock option grants practices. As a result of our remediation recommendations, the SEC decided not to pursue further action.

Pro Bono

  • Representing client against criminal charges of driving while addicted and possession of drug paraphernalia.  Case will likely go to trial.
  • Represented convicted prisoner on appeal to Ninth Circuit on Eighth Amendment deliberate indifference and First Amendment retaliation claims.
  • Obtained grants of immigration habeas petitions that restored immigration detainee to lawful permanent resident status and ordered his release from detention after ten years of incarceration. Continuing to represent client in immigration removal proceedings.
  • Obtained asylum for Guatemalan juvenile and Ivory Coast student in removal proceedings.
  • Represented criminal defendant on appeal of narcotics conviction.
